By accessing or using Semradr, you agree to be bound by these Terms. Please read them carefully before using the Service.
1. Agreement to Terms
By accessing or using Semradr ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access the Service.
2. Account Terms
- → You must be 15 years or older to use this Service.
- → You must provide accurate and complete information when creating your account.
- → You are responsible for maintaining the security of your account and password.
- → You are responsible for all activities that occur under your account.
- → You may not use the Service for any illegal or unauthorized purpose.
3. Service Usage
Semradr provides a decision intelligence platform — signal ingestion, synthesis, and intelligence outputs including Morning Briefings, Breakpoint Alerts, Risk Scores, Decision Playbooks, and a Decision Logger. You understand that:
- → The Service is provided "as is" without warranties of any kind.
- → We reserve the right to modify or discontinue the Service at any time with reasonable notice.
- → Intelligence outputs (briefings, alerts, scores) are informational, not guarantees of outcome.
- → Usage limits apply based on your subscription tier and Signal Credit balance.
4. Signal Credits
Signal Credits power AI enrichment, scenario simulations, and playbook runs within Semradr. Credits are allocated monthly based on your subscription tier and are subject to the following terms:
- → Credits included in your plan are allocated at the start of each billing period.
- → Unused credits roll over for up to 2 months from the date of allocation.
- → Additional credits may be purchased at any time without changing your plan.
- → Credits are non-transferable and have no cash value.
- → Purchased credits do not expire for 12 months from the date of purchase.
5. Subscription & Billing
- → Paid subscriptions are billed in advance on a monthly or annual basis.
- → All fees are non-refundable except as required by applicable law.
- → You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
- → We reserve the right to change pricing with 30 days notice to existing customers.
- → Failure to pay will result in suspension and eventual termination of paid features.
6. Intellectual Property
The Service, its original content, features, and functionality are owned by Semradr and protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of content you create using the Service — including decision logs, configured playbooks, and workspace data. We claim no intellectual property rights over the intelligence outputs generated for your workspace.
7. Prohibited Uses
You agree not to:
- → Use the Service for any unlawful purpose or to solicit others to perform unlawful acts
- → Violate any applicable international, federal, or state regulations or laws
- → Infringe upon intellectual property rights of Semradr or any third party
- → Submit false or misleading information or upload malicious code to the Service
- → Attempt to bypass security measures or gain unauthorised access to any part of the Service
- → Use automated systems or software to extract data from the Service (scraping) without express written permission
- → Resell or redistribute access to the Service without authorisation
8. Termination
We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may also terminate your account at any time by contacting us or using the account deletion option in settings.
9. Limitation of Liability
In no event shall Semradr, its directors, employees, partners, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, use, goodwill, or other intangible losses — resulting from your access to or use of the Service. Intelligence outputs provided by Semradr are informational in nature. Strategic decisions made using the Service remain the sole responsibility of the user.
10. Governing Law
These Terms shall be governed and construed in accordance with applicable law, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
11. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days notice via email before the new terms take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
